Company Formation

The most common form of doing business in the Czech Republic is to form an s.r.o. company (equivalent to a private limited liability company in the UK). There is a requirement to invest a minimum share capital of CZK 200,000 (around EUR 8,000).

We can set up a new company for you with our commercial lawyers dealing with all significant matters to have the company created, registered and legalised including:

  • Preparation of the Memorandum and Articles of Association
  • Dealing with and registering its owners and directors
  • Obtaining trading licences appropriate to the company’s activities
  • All court registrations and certificates
  • Liaising to open bank accounts and handling initial capital subscriptions

Typically it takes in total about a month to form a new company depending mainly on the citizenship of the director and the type of trading licences needed.

We can supply the use of a registered office address to enable you to register the company before finding offices of your own, or alternatively we can assist you with finding your own office space.

We can supply a guaranteed shelf company with no trading history and arrange for transfer of ownership and apply to the court to register this in the commercial register.

We will arrange for
  1. a change of company name from the shelf company to a company name of your choice (subject to availability on the register),
  2. a change of director
  3. obtaining the company’s business licences appropriate to the activities,
  4. a change of business address.
